By accessing or using the websites, applications, and services provided by THEORIST or any of its subsidiaries, including THEORIST LLC, THEORIST OÜ, and THEORIST L.L.C-FZ (collectively, "THEORIST", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). 2. About THEORIST Group Structure

THEORIST is an international group of companies operating through distinct legal entities. Each entity is responsible for specific regional or operational activities. THEORIST LLC is organized under the laws of Delaware, United States. THEORIST OÜ is a private limited company incorporated in Estonia. THEORIST L.L.C-FZ is a free zone limited liability company established in the United Arab Emirates.

When you engage with a specific product or service, you may be contracting with a specific entity within our group, which will be identified in the applicable specific terms for that product. However, these general Terms apply to your interaction with the group as a whole.

3. Description of Services

THEORIST provides a range of digital products, platforms, and services, including but not limited to mobile applications, web-based software, e-commerce brands, and technology consultation. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice or liability.

We are constantly innovating in order to provide the best possible experience for our users. You acknowledge and agree that the form and nature of the services which we provide may change from time to time without prior notice to you.

9. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

THEORIST does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

10. Limitation of Liability

In no event shall THEORIST, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

You agree to defend, indemnify and hold harmless THEORIST and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

13. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration. The seat of arbitration shall be determined based on the THEORIST entity with which you have contracted, or otherwise in Delaware, USA. The language of the arbitration shall be English.

14. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
